These Terms of Service (“Terms”) govern your use of Tegain AI Commerce (the “Service”), operated by Talrop Ventures Pvt. Ltd. (“Tegain AI”, “we”, “us”). By signing up or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
You need an account to use the Service. You are responsible for keeping your credentials secure and for everything that happens on your account. Notify us immediately at mishana@tegain.com if you suspect unauthorised access.
You may have one workspace (“Company”) per account by default. Your authorised users (“Managers”) access the workspace under a single tenant. Acts and omissions of your Managers are your responsibility.
Plans and prices are listed on the Billing page inside the dashboard and on the marketing site. Prices are exclusive of GST and any other applicable taxes.
Subscriptions are billed monthly through Razorpay. Persistent payment failure may suspend messaging and commerce features until you update payment details. Suspended accounts retain access to historical data.
You can downgrade or cancel at any time from the Billing page. We do not pro-rate refunds for unused time on a paid period unless required by law.

You - not Tegain AI - are solely responsible for compliance with Meta policies, consumer law, and the content of AI prompts and product listings you configure. We provide tooling; you operate it.
The Service uses large language models to drive chat agents and product recommendations. AI output can be inaccurate or unexpected. You agree to:
Tegain AI does not warrant that AI output will be accurate, complete, or fit for any particular purpose.
You retain all rights to leads, products, catalogues, WhatsApp messages, orders, and anything else you upload or generate within the Service (“Customer Data”). You grant Tegain AI a worldwide, non-exclusive licence to process Customer Data solely to operate and improve the Service for you and other customers in aggregate, anonymised form.
We will not train AI models on your messages or product data without your prior, explicit opt-in.
Our handling of Customer Data is governed in detail by our Privacy Policy.
The Service integrates with third-party platforms (Meta WhatsApp, Google Sheets, Razorpay, etc.). Your use of those integrations is subject to the third party’s own terms. Tegain AI is not responsible for changes a third party makes to its API, pricing, or availability.
Google Sheets integration. Scopes, retention, and limited-use commitments are described in our Privacy Policy, section 3. You can disconnect at any time from the integration page in Tegain AI Commerce.
Each party agrees to protect the other’s confidential information with at least reasonable care, and to use it only to perform under these Terms.
We aim for high availability but do not promise 100% uptime. Scheduled maintenance, third-party outages (Meta, cloud providers), and force majeure events may interrupt the Service. We are not liable for missed messages or lost data caused by such interruptions.
You may cancel at any time from the Billing page. We may suspend or terminate your account on notice if you breach these Terms, fail to pay, or use the Service in a way that risks us legally or operationally. On termination, your Customer Data is retained for 30 days, then permanently deleted.
The Service is provided “as is” and “as available”. We disclaim all warranties to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
To the maximum extent permitted by law, Tegain AI’s total liability arising out of or related to these Terms shall not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
You agree to indemnify and hold Tegain AI harmless from any third-party claim arising from (a) Customer Data you upload or generate, (b) WhatsApp messages or commerce activity you run through the Service, (c) your breach of these Terms, or (d) your violation of applicable law or Meta policies.
These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in Kochi, Kerala. The parties will first attempt to resolve disputes in good faith for 30 days before resorting to litigation.
Material changes will be announced in-app and by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.
